The Vice President, Associate General Counsel, Litigation is responsible for leading the Company’s litigation strategy and execution, protecting the Company’s legal interests, and supporting the mitigation of litigation and regulatory risk across the enterprise. This role partners closely with business leadership, the Office of the General Counsel, and other functional stakeholders to manage significant disputes, investigations, and litigation risk in a manner that supports shareholder value and the Company’s strategic objectives.
Essential Duties and Responsibilities:
Litigation Strategy & Management
- Lead the management of a portfolio of significant commercial, regulatory, employment, and class action litigation involving the Company, including affirmative matters brought on the Company’s behalf.
- Provide strategic direction on alternative dispute resolution proceedings, including arbitration and mediation.
- Deliver practical, business‑oriented pre‑litigation counseling to proactively position disputes for favorable outcomes.
- Develop and execute litigation strategies, including fact investigations, legal research, and oversight of pleadings, motions, and discovery.
- Partner closely with outside counsel on major matters, including deposition preparation, trial strategy, and oral arguments where appropriate.
- Interview and prepare witnesses, including senior executives, as needed.
Outside Counsel & Budget Oversight
- Select, retain, and manage outside counsel to ensure high‑quality representation, cost discipline, and alignment with Company objectives.
- Establish and oversee litigation budgets, forecasting, and spend controls.
- Negotiate and manage fee arrangements, including alternative fee structures where appropriate.
Investigations & Regulatory Matters
- Assist in representing the Company in internal and external investigations, including those initiated by regulators.
- Coordinate closely with Compliance, Government Relations, Human Resources, and other internal stakeholders to ensure consistency of legal positions and risk management strategies.
Risk Mitigation & Advisory
- Proactively identify litigation and regulatory risks across the Company’s businesses, informed by evolving legal, regulatory, and enforcement trends.
- Partner with business leaders to develop pragmatic solutions that reduce future litigation exposure.
- Incorporate lessons learned from prior matters into preventative legal guidance and operational improvements.
Reporting & Governance
- Provide regular updates to the Chief Legal Officer on the status, strategy, and risk profile of significant matters.
- Prepare materials and presentations for senior management and, as requested, the Board of Directors or Audit Committee related to litigation exposure, reserves, and emerging risk trends.
- Assist in the assessment and establishment of litigation reserves in coordination with Finance.
Team Leadership & Culture
- Help build and maintain a high‑performing litigation function by supporting talent development, knowledge sharing, and best‑practice processes.
- Promote a culture of integrity, accountability, inclusion, and collaboration consistent with the Company’s values.
- Support operational excellence through metrics, reporting, and continuous improvement of litigation and investigation processes.
- Juris Doctor (JD) from an ABA‑accredited law school.
- Active license to practice law in at least one U.S. state.
-10+ years of progressively responsible litigation experience, including experience in complex, highly regulated environments; government services or similar industries preferred.
-Substantial expertise in litigation management, including exposure to matters such as the False Claims Act, bid protests, shareholder or derivative actions, and complex commercial disputes.
- Demonstrated ability to partner effectively with senior business leaders and operate with sound judgment in high‑stakes matters.
- Willingness to be based at or regularly travel to one of the Company’s key locations.
- In-house litigation experience preferred, including managing outside counsel and legal budgets.
- Experience with civil litigation, government investigations, regulatory enforcement, and class actions.
